1. Introduction
Welcome to LOQTA. These Terms of Service ("Terms") govern your access to and use of our business marketplace platform, website, and mobile application (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Definitions
- "Platform" — the LOQTA website, mobile application, and associated services
- "User" — any individual or entity with a registered account
- "Seller" — a User who posts a business or asset for sale
- "Buyer" — a User who browses or expresses interest in a listed business or asset
- "Listing" — any business, commercial asset, or opportunity posted by a Seller
- "Content" — all text, images, documents, data, and other material posted to the Platform
3. Account Registration
To use the Platform you must register an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential and not share them with others
- Notify us immediately of any unauthorised use of your account
You are responsible for all activity that occurs under your account.
4. User-Generated Content
4.1 Your Ownership
You retain ownership of the Content you submit to the Platform, including listing descriptions, financial data, and photographs. By posting Content, you grant LOQTA a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute your Content solely for the purpose of operating and promoting the Platform.
4.2 Accuracy and Responsibility
You are solely responsible for the Content you post. All information in a Listing must be accurate, complete, and not misleading. LOQTA acts as an intermediary and does not verify the accuracy of Listings or guarantee the outcome of any transaction.
4.3 Prohibited Content
You may not post Content that:
- Is false, misleading, or fraudulent
- Violates any applicable law or regulation, including Saudi commercial and anti-fraud laws
- Infringes any intellectual property, privacy, or other rights of a third party
- Contains hate speech, harassment, or threats directed at any individual or group
- Advertises illegal goods, services, or activities
- Contains malware, viruses, or any code designed to harm the Platform or its users
- Impersonates another person or entity
- Is spam or unsolicited commercial communications
We reserve the right to remove any Content that violates these rules without prior notice, and to suspend or terminate the account of any User who repeatedly posts prohibited Content.
5. Reporting and Safety
5.1 Reporting Abusive Content or Users
If you encounter Content or behaviour that violates these Terms or that you consider objectionable, you can report it by contacting us at legal@loqtah.net with details of the Listing or User involved. We review all reports and will take appropriate action, which may include removing Content, issuing a warning, or terminating the account.
5.2 Blocking Users
You may block another User from sending you messages through the Platform at any time using the block feature available in the messaging interface. Blocking a User prevents them from initiating new conversations with you.
5.3 Content Moderation
LOQTA moderates Content to enforce these Terms. Moderation actions include: removal of non-compliant Listings, temporary suspension of accounts pending investigation, and permanent termination for serious or repeated violations. We aim to act on valid reports within a reasonable time but do not guarantee specific response times.
6. Listings and Transactions
LOQTA provides a venue for Sellers and Buyers to connect; it is not a party to any transaction. Users are responsible for conducting their own due diligence before entering into any agreement. LOQTA does not guarantee the completion, legality, or quality of any transaction facilitated through the Platform.
7. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.
8. Intellectual Property
All Platform technology, design, trademarks, and proprietary Content are owned by LOQTA or its licensors and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform Content without our express written permission. Nothing in these Terms transfers any intellectual property rights to you.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that Listings are accurate or complete. Your use of the Platform is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by applicable law, LOQTA and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including losses arising from transactions between Users. Our total aggregate liability to you for any claim shall not exceed the amount you paid to use the Platform in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless LOQTA and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your Content, or your violation of these Terms.
12. Account Termination
We may suspend or permanently terminate your account if we reasonably believe you have violated these Terms or engaged in conduct harmful to other Users or the Platform. You may also delete your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately; provisions of these Terms that by their nature should survive will continue to apply.
13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify Users of material changes by updating the effective date at the top of this page and, where appropriate, by email or in-app notification. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms.
